BizOS Terms and Conditions

1. Introduction
Welcome to BizOS! These Terms and Conditions ("Terms") govern your access to and use of the BizOS Software-as-a-Service (SaaS) platform, including all associated modules, features, and services provided by InfraTeam ("we," "us," or "our").
By creating an account, selecting a subscription, or otherwise using BizOS, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the platform.
2. Account Creation and Security
- Eligibiity: You must be at least 18 years old or possess legal parental or guardian consent to use this service. If you are accepting these terms on behalf of a business, you represent that you have the authority to bind that business to these Terms.
- Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate
- Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your login information.
3. Services and Subscriptions
BizOS provides various modules to help manage business operations. Subscriptions are offered on a monthly or annual basis.
- Product OS - Commerce: Offered as a free tier (R0/month) including basic access to Products, Catalog, Orders, Online Store, and Designer features. We reserve the right to modify or introduce limits to the free tier at any time.
- Paid Subscriptions: Modules such as BizOS - EAC (R25/month) and Invoice OS (R250/month) require a paid subscription. Prices are listed in South African Rands (ZAR).
- Billing Cycle: You will be billed in advance on a recurring and periodic basis depending on the billing cycle you select (Monthly or Annual). Annual subscriptions may be subject to promotional discounts (e.g., 15% off).
- Payment Processing: By providing payment information, you authorize InfraTeam to charge the applicable subscription fees to your designated payment method.
4. Payment Terms & Third-Party Gateways
- Currency: All fees are quoted and payable in South African Rands (ZAR).
- Billing: Subscriptions are billed in advance on a recurring monthly or annual basis. By subscribing, you authorize us to charge your designated payment method automatically.
- Third-Party Processors: We utilize secure, industry-leading third-party payment gateways to process transactions. These include, but are not limited to, PayFast, Stitch, and Ozow.
- Gateway Terms: When processing a payment, you are also subject to the terms and conditions and privacy policies of these third-party processors. InfraTeam does not store your full credit card or bank login details on our servers.
- Failed Payments: If a recurring payment fails, we reserve the right to suspend access to paid modules until the account is brought up to date.
5. Cancellations and Upgrades
- Cancellations: You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of the current paid billing cycle. We do not provide refunds or credits for any partial subscription periods.
- Modifications: You can upgrade or downgrade your subscription modules at any time. Upgrades will be billed immediately on a pro-rata basis. Downgrades will take effect at the start of the next billing cycle.
6. Acceptable Use Policy
You agree not to use BizOS to:
- Violate any local, national, or international laws or regulations
- Upload, transmit, or distribute any content that is unlawful, defamatory, harassing, or infringes on the intellectual property rights of others.
- Attempt to gain unauthorized access to our systems, networks, or other user accounts.
- Distribute viruses, malware, or any other harmful code.
7. Cancellations and Upgrades
- Cancellations: You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of the current paid billing cycle. We do not provide refunds or credits for any partial subscription periods.
- Modifications: You can upgrade or downgrade your subscription modules at any time. Upgrades will be billed immediately on a pro-rata basis. Downgrades will take effect at the start of the next billing cycle.
8. Intellectual Property
- InfraTeam Rights: All software, design, text, graphics, and other content making up the BizOS platform are the exclusive property of InfraTeam and are protected by intellectual property laws.
- User Data: You retain all rights to the data, client lists, and content you upload to BizOS ("User Data"). By using the service, you grant InfraTeam a non-exclusive license to host, copy, and process your User Data solely for the purpose of providing the service to you.
9. Data Privacy
Your privacy is important to us. Our collection and use of personal information in connection with BizOS are outlined in our Privacy Policy. By using BizOS, you consent to the data practices detailed in that policy, which is designed to comply with applicable data protection laws, including the Protection of Personal Information Act (POPIA).
10. Limitation of Liability
To the maximum extent permitted by law, InfraTeam shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of or inability to use BizOS. In no event shall our total liability to you exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
11. Termination
We reserve the right to suspend or terminate your account and access to BizOS immediately, without prior notice or liability, if you breach any of these Terms. Upon termination, your right to use the platform will immediately cease, and you must export any required User Data prior to cancellation.
12. Modifications to Terms
We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision is material, we will notify you via email or through an alert on the platform. By continuing to access or use BizOS after revisions become effective, you agree to be bound by the updated Terms.
13. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts located in South Africa.

- User Data (Client Data): To provide our SaaS services, BizOS processes data that you input into the system. This includes your product catalogs, client lists, invoice details, and customer orders. You remain the data controller for all User Data you upload.
- Usage Data: We automatically collect standard diagnostic and usage data when you access the platform, such as your IP address, browser type, device information, and activity logs to help us improve the software.
2. How We Use Your Information
We use the information we collect for the following business purposes:
- Providing the Service: To operate BizOS, create your account, and deliver the specific modules you have enabled (like generating invoices or managing your online store).
- Processing Payments: To manage subscriptions, process payments, and issue receipts.
- Communication: To send you technical notices, security alerts, support messages, and administrative emails regarding your account.
- Platform Improvement: To analyze usage trends, troubleshoot issues, and develop new features for the platform.
3. Sharing Your Information.
We do not sell your personal information. We may share your information only in the following limited circumstances:
- Service Providers: We may share data with trusted third-party vendors who assist us in operating our platform, conducting our business, or serving our users (e.g., cloud hosting providers, payment gateways). These parties are bound by strict confidentiality obligations.
- Legal Compliance: We may disclose your information if required to do so by law, in response to a valid court order, or to protect the rights, property, or safety of InfraTeam, our users, or others.
4. Data Security
We implement robust administrative, technical, and physical security measures designed to protect your Personal Information and User Data against unauthorized access, destruction, or alteration. However, no electronic transmission over the internet or information storage technology can be guaranteed to be 100% secure.
5. Your Data Rights (POPIA Compliance)
Depending on your location, including under the South African POPI Act, you have specific rights regarding your personal information:
- Right to Access: You can request a copy of the personal information we hold about you.
- Right to Correction: You can request that we correct any inaccurate or incomplete information.
- Right to Deletion: You can request the deletion of your account and associated personal data, subject to certain legal obligations we may have to retain records (e.g., tax and billing history).
- Data Portability: You have the ability to export your client lists and product catalogs directly from the BizOS dashboard at any time.
